Welcome to CanConnect Studio. These Terms of Use (“Terms”) govern your access to and use of the website located at canconnectstudio.com and any related content, products, or services we provide (collectively, the “Services”). The Services are operated by CanConnect Studio, a division of CanConnect Network Inc., based in Toronto, Ontario, Canada (“we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least the age of majority in your province or territory of residence to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms.

2. Use of the Services

You agree to use the Services only for lawful purposes. You will not:

• Use the Services in any way that violates applicable laws or regulations;
• Attempt to gain unauthorized access to the Services, our systems, or other users’ accounts or data;
• Interfere with or disrupt the integrity, performance, or security of the Services;
• Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written consent;
• Upload or transmit any content that is unlawful, harmful, infringing, defamatory, or otherwise objectionable.

3. Client services

When we provide design, development, content, or other professional services to a client, those services are governed by a separate written agreement (such as a project proposal, statement of work, or services agreement). In the event of a conflict between these Terms and that agreement, the project agreement will prevail with respect to the specific engagement.

4. Intellectual property

The Services, including the website design, text, graphics, logos, images, and code (other than client materials), are owned by or licensed to CanConnect Studio and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reproduce, or create derivative works from any part of the Services without our prior written permission, except as permitted by law.

Materials we deliver to clients are governed by the intellectual property terms of the applicable project agreement.

5. Third-party tools and links

The Services may incorporate or link to third-party tools, platforms, or websites (including AI-assisted development tools). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party tools and websites is at your own risk and subject to their terms.

6. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the maximum extent permitted by law, CanConnect Studio, CanConnect Network Inc., and our directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or in connection with your use of the Services. Our total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us for the relevant Services in the 12 months preceding the claim, or (b) CAD $100.

8. Indemnification

You agree to indemnify and hold harmless CanConnect Studio, CanConnect Network Inc., and our affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or relating to these Terms or the Services.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated through our website or by other reasonable means. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
